1. Acceptance of Terms

By accessing, downloading, installing, or using any products, applications, games, or services (collectively, "Products") developed and published by Beijing Ningdom Technology Co., Ltd. (hereinafter referred to as "Ningdom," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Products.

These Terms apply to all Products available on:

  • Operating Systems: Including but not limited to iOS, Android, Windows, macOS, Linux, and other operating systems
  • Devices: Including but not limited to smartphones, tablets, personal computers, VR/MR headsets, handheld gaming consoles, home gaming consoles, smartwatches, smart glasses, and other connected devices
  • Distribution Platforms: Including but not limited to App Store, Google Play, Steam, Epic Games Store, Meta Quest Store, PlayStation Store, Xbox Store, Nintendo eShop, and other digital distribution platforms

2. Description of Services

Ningdom develops and publishes software products including applications, games, mini-programs, web pages, and other digital content across multiple operating systems, devices, and distribution platforms. Our Products may be offered under various monetization models including but not limited to:

  • Free-to-use products
  • Products with advertising
  • Products with in-app purchases
  • One-time purchase (buy-to-own) products
  • Subscription-based products

3. User Accounts and Registration

Some Products may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

4. License and Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Products for personal, non-commercial purposes.

5. In-App Purchases and Subscriptions

If a Product offers in-app purchases or subscriptions:

  • All purchases are processed through the respective distribution platform's payment system, including but not limited to App Store, Google Play, Steam, Epic Games Store, Meta Quest Store, PlayStation Store, Xbox Store, Nintendo eShop, and other platform payment systems
  • Prices may vary by region and platform
  • Subscriptions will automatically renew unless cancelled before the renewal date
  • Refund policies are governed by the platform's terms and applicable laws
  • You may cancel subscriptions through your platform account settings

6. User Content

Some Products may allow you to create, upload, or share content. You retain ownership of your content but grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute your content solely for the purpose of operating and improving our Products.

You agree not to upload content that:

  • Violates any laws or regulations
  • Infringes on intellectual property rights
  • Contains harmful, offensive, or inappropriate material
  • Violates privacy rights of others

7. Intellectual Property

All Products, including but not limited to software, graphics, text, images, music, and other content, are the property of Ningdom or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our prior written consent.

8. Third-Party Services

Our Products may integrate with third-party services, including but not limited to:

  • Advertising networks
  • Analytics services
  • Payment processors
  • Social media platforms
  • Cloud storage services

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

9. Disclaimer of Warranties

OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NINGDOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR PRODUCTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ningdom and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Products or violation of these Terms.

12. Termination

We may terminate or suspend your access to our Products at any time, with or without cause or notice, for any reason including violation of these Terms. Upon termination, your right to use the Products will immediately cease.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website or within our Products. Your continued use of our Products after such changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of our Products shall be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in courts of competent jurisdiction, as required by applicable law.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
